Terms of Service

These Terms and Conditions outline the rules and responsibilities governing the services provided by LEAD NODE SARLS. By using our services, you agree to the terms stated below.

1. Services Provided

LEAD NODE SARLS provides IT services including software development, server management, and hosting services to its clients.

2. Late Payment

Timely payment is crucial for us to maintain the highest level of service. If a client encounters difficulty making payment, they are encouraged to reach out to us to arrange alternatives. An annual interest rate of 8% applies on overdue amounts. Recovery costs (45€ lump sum) may also apply.

3. Liability

LEAD NODE SARLS provides IT services with reasonable care and skill. We are not liable for damages unless caused by gross negligence or wilful misconduct.

4. Confidentiality

All information shared by clients will be treated as confidential. We implement appropriate data security measures to protect client information in accordance with applicable laws.

5. Termination

Either party may terminate this agreement with written notice. Obligations surviving termination will remain in effect as necessary.

6. Changes to Terms

We reserve the right to amend these terms with reasonable notice. Continued use of services implies acceptance of the changes.

7. Governing Law

This agreement is governed by the laws of Luxembourg. Disputes shall first attempt to be resolved by mediation before litigation.

8. Entire Agreement

This document constitutes the full agreement between LEAD NODE SARLS and its clients. Amendments must be in writing, signed by both parties. If any clause is found invalid, the rest remain enforceable.

9. Assignment

Neither party may assign its rights or obligations without written consent, except LEAD NODE SARLS may do so in case of a merger, acquisition, or sale of assets.

10. Relationship of Parties

This agreement does not create a joint venture, partnership, or agency. Each party is independent and may not act on behalf of the other.

11. Force Majeure

Neither party shall be liable for non-performance due to events beyond their control, such as natural disasters, pandemics, or war.

12. Waiver

No waiver is valid unless written and signed. Failure to enforce a term is not a waiver of the right to enforce it later.
